Terms of Use

The website www.getreadily.com (the "Website") and all associated online resources includ-ing but not limited to the Services offered through the Website shall be that owned by GET Readily, LLC ("Get Readily").

The Website is an online web-based gym management solution that allows gyms and fitness clubs to improve their progress reporting infrastructure. Get Readily also provides tools to run Key Performance Index (KPI) reports, improve organizational communication, provides ac-cess to a database instructors, manage certifications and easily manage class schedules and substitutions.

These Terms of Use (the "Terms") and the associated Privacy Policy and Membership Agreement made available on the Website shall govern the use and access of the Website and the Services by all Users. Any User who does not wish to accept the Terms are requested to desist from accessing or attempting to access the Website and the Services.

Any User using or otherwise accessing the Website or any of the Services shall be construed to have accepted and agreed to the Terms.

The Terms shall constitute a valid and binding agreement between Instructors, Fitness Clubs and Get Readily.

The Services offered on the Website are intended for use by:

Instructors, fitness trainers, personal trainers, aerobics instructors and such other indi-viduals offering fitness and health care services (hereinafter collectively referred to as the "Instructors" and individually referred to as the "Instructor");
Gyms, fitness clubs and other similar entities offering fitness or health care services (hereinafter referred to as "Fitness Clubs");
Any person accessing or using the Website and availing the Services for the benefit of an entity.

Instructors, Fitness Clubs and any other person(s) accessing the Website and availing the Ser-vices shall be collectively referred to as "Users"

In addition to anything contained herein, the Terms shall govern the following:

Registration and listing of Instructors and Fitness Clubs;
Search services related to finding Instructors and Fitness Clubs;
Services including but not limited to fixing appointments, finding substitutes, and checking schedules;
Any and all information or other content uploaded, transmitted, published or made public anywhere on the Website.

Users shall also be bound by any and all applicable laws of the State of New York in addition to the applicable federal laws of the United States of America while using or accessing the Website and the Services.

DEFINITIONS
1. "Confidential Information" shall mean any information concerning Get Readily its directors, officers, employees, consultants or agents, in written, visual, magnetic, electronic or other form or any in-formation pertaining to the Website and the Services including any analyses, compila-tions, studies or other documents prepared by Get Readily or its affiliates or their rep-resentatives. Confidential Information includes, without limitation (i) non-public in-formation relating to Get Readily's businesses, operations, technology, customers, strategies, business plans, promotional and marketing activities, accounts, finances and other business affairs, (ii) information that Get Readily is obliged to keep confidential, (iii) trade secrets of Get Readily, (iv) any intellectual property rights and (v) the na-ture, contents and existence of the Parties' negotiations and business dealings, but ex-cludes information that: (a) was already in the lawful possession of the Party receiving the Confidential Information before being disclosed by the Party disclosing it; (b) is or becomes available to the public other than as a result of a disclosure by the Parties in breach of this Confidentiality Agreement;
2. "Dispute Resolution Process" shall mean such internal dispute resolution mechanism adopted by Get Readily to re-solve disputes that may arise between users.
3. "Intellectual Property" shall mean collectively or individually, the following worldwide rights relating to in-tangible property, whether or not filed, perfected, registered or recorded and whether now or hereafter existing, filed, issued or acquired: (i) patents, patent disclosures, pa-tent rights, know-how, including any and all continuations, continuations-in-part, divi-sions, reissues, re-examinations, utility, model and design patents or any extensions thereof; (ii) rights associated with works of authorship, including without limitation, copyrights, copyright applications, copyright registrations; (iii) rights in trademarks, trademark registrations, and applications therefore, trade names, service marks, service names, logos, or trade dress; (iv) rights relating to the protection of trade secrets and Confidential Information; and (v) internet domain names, internet and world wide web URLS or addresses; and (vi) all other intellectual or proprietary rights anywhere in the world including rights of privacy and publicity, whether or not requiring registration and whether or not such registration has been obtained.
4. "Member Care Representative" shall mean such persons appointed by Get Readily for the purposes of dispute resolu-tion as well as for providing assistance to Users with regard to the Website and the Services.
5. "Party" shall refer to either the Users or to Get Readily as the context may suggest and the Us-ers and Get readily may be collectively referred to as Parties.
6. "Services" shall mean such services offered by Get Readily including but not limited to listing of Instructors and Fitness Clubs and services with regard to searching Instructors and Fit-ness Clubs.
CONDITIONS OF USE
1. Get Readily intends the Website and the Services to be used only by such individuals who have attained the age of 18 (Eighteen) years. Any individual below the age of 18 years is requested to immediately cease all use of the Website and the Services. Get Readily shall not be liable for any loss or damages caused to any person due to the acts or omissions of any minor(s). All Users continuing to access and use the Website and the Services hereby represent to Get Readily that they have attained the age of 18 years.
2. Use of the Website and the Services by any User shall be in accordance with any and all applicable laws in addition to the Terms set forth herein.
3. Get Readily has made the Website and the Services available only within the territory of the United States of America (the "Territory") and any User accessing the Website or availing the Services from any location other than the territory hereby accept and agree that they shall be doing so at their sole option and risk.
4. Users hereby accept and agree that Get Readily is merely a platform that assists in the management and administrative processes of Fitness Clubs and provides listing ser-vices to Fitness Clubs and Instructors and is not a party to any transaction entered into or contemplated by the Fitness Clubs and Instructors.
5. Get Readily does not provide any fitness or health care services and it merely offers a platform for Fitness Clubs and Instructors to showcase their services, qualification and experience. Users are advised against relying on any information made available any-where on the Website unless on consulting with an expert. None of the information or other content is intended as advice to any User and does not address any User's spe-cific/individual requirements or circumstances. Get Readily makes no representations or warranties, of any manner, regarding such information.
6. The Services offered on the Website are provided on an 'as is' basis and Get Readily makes no representations or warranties regarding the same and Users may avail the Services at their sole option and risk.
7. The Website may allow Users to communicate with one another, however, all such communications shall be at the User's sole option and risk.
8. Get Readily reserves the right to record, monitor or store any and all communication transmitted between Users anywhere on the Website. However, this shall not be con-strued as placing any obligation on Get Readily to monitor or record any communica-tions transmitted.
USER ACCOUNTS
1. The Services offered on the Website are intended only for such Users who have regis-tered themselves with Get Readily. All Users are requested to register themselves on the Website prior to availing the Services.
2. Once a User registers himself/herself on the Website, Get Readily shall provide such User with a unique user name and password to access his individual User Account.
3. All such User Accounts are intended for use only by a single User and Get Readily hereby expressly restricts the sharing of accounts or account information including but not limited to any access information.
4. All Users are requested to maintain the safety and security of their respective accounts and the Users shall be liable for any and all losses or damages that may arise due to the use of their accounts or due to any unauthorised use of the same including but not lim-ited to any content posted, published or transmitted through their respective accounts.
5. Users shall provide true, accurate and complete information at the time of registration and shall ensure that they keep all such information provided to Get Readily up to date.
6. Get Readily reserves the right to monitor any and all information, material or content published, posted, transmitted or made public anywhere on the Website as well as to check the User's compliance with the Terms. However, this shall not place any obliga-tion on Get Readily to conduct any sort of monitoring of User content or accounts.
7. Get Readily shall not be held accountable or liable for any information, material or con-tent, published, uploaded, distributed, transmitted or otherwise made public anywhere on the Website by any User or through any User Account.
8. Instructors may display information on their respective profiles only if the same has been approved by Get Readily. All information shall have to be submitted to Get Readily for its approval. The information shall be displayed on the respective User's profile only once Get Readily has determined that the same is in accordance with these Terms.
9. In the event that Get Readily determines or otherwise suspects that the information provided by any User to be false, inaccurate, misleading or otherwise fraudulent, Get Readily reserves the right to terminate such User's account without any prior notice.
10. In the event any User wishes to change any of the information displayed on their re-spective profiles, they may request Get Readily to change the same by writing to [email protected].
11. On the termination of a User Account, all information and data associated with the same shall be removed or otherwise deleted from all the Get Readily's systems, servers and databases within 30 days from termination.
12. Users are requested to make adequate copies and back-ups of all information present on their accounts and Get Readily shall not be liable for any loss or destruction of in-formation after the expiry of 30 days from the date of termination.
13. Users shall ensure that they keep any and all information provided by them at the time of registration and account creation up to date. In case any of the information provided is no longer relevant, correct or accurate, Users shall notify the same to Get Readily at the earliest.
RESTRICTIONS ON USE
1. Users are hereby expressly restricted from partaking or attempting to partake, in any manner, in any of the following:
  1. Harass, threaten, abuse any User or any of the Get Readily personnel or otherwise cre-ate a hostile, threatening or unsafe environment;
  2. Use the Website or the Services for any purpose not expressly allowed or contained herein or for any purpose contrary to law or otherwise detrimental to the interests of Get Readily;
  3. Altering or disrupting any of the features or functionality of the Website and the Ser-vices;
  4. Send or make any unsolicited mails, calls or other forms of communication through the Website or the Services to any User of the Website;
  5. Impersonate any third party;
  6. Removing, obscuring or altering, in any manner, any of the content, information, mate-rial or proprietary marks including but not limited to any trademarks, icons, logos or trade names contained anywhere on the Website or within the Services;
  7. Share User accounts or account information with any other person(s) including any usernames or passwords;
  8. Permit any other person(s) from offering or otherwise conducting classes on behalf of the Instructor unless with the express written consent from Get Readily;
  9. Booking classes, appointments, substitutions or cancelling the same with any Instructor or Fitness Club other than through the Website;
  10. Using, distributing, transmitting, selling, offering for sale or otherwise making public any information, material or content belonging to any third party for which necessary rights, licenses and consents have not been obtained;
  11. Make public any Confidential Information received either through the Website or from any User;
  12. Contact any User other than through the Website;
  13. Promote or advertise any products or services on the Website other than with the ex-press consent from Get Readily;
  14. Duplicating, trading, selling or offering for sale any information obtained either through the Website or from any other User.
2. In addition to the above mentioned restrictions, Users are further restricted from post-ing, publishing, transmitting, distributing, uploading, making public, selling or other-wise offering for sale any information, material or content, anywhere on the Website, that is, contains or may be construed as:
  1. Pornographic, vulgar, obscene, pedophiliac, or otherwise contrary to morality;
  2. Inciting, harmful, discriminatory, unlawful, threatening, abusive, defamatory, fraudu-lent, misleading, false or otherwise contrary to public interest or threatens the safety of the United States of America;
  3. Viruses, Trojans, Key Stroke Loggers, Malware, Time Bombs or any similar program or code that may or will affect the features and functionality of the Website and the Ser-vices.
CONTENT
1. Users shall be solely responsible for any and all information, material or content posted, published, transmitted, distributed, uploaded or made public ("User Content") any-where on the Website or the Services.
2. All User Content shall be subject to the restrictions mentioned in Clause 4.2.
3. Users from whose accounts any information, material or content was posted, pub-lished, transmitted or made public in violation of Clause 4.2 shall be solely responsible for any and all resulting losses and damages.
4. Users are requested to ensure that they have all necessary rights, consents and licenses over any and all User Content posted, published, transmitted or made public anywhere on the Website.
5. Get Readily shall designate certain parts of the Website wherein Users may post, pub-lish and transmit User Content including communications with other Users. Users are hereby expressly restricted from posting, publishing or transmitting any User Content anywhere on the Website other than such parts specifically designated for the same by Get Readily.
6. Get Readily reserves the right to monitor, record and store any and all User Content including any and all communications transmitted between Users and the Users hereby consent to the same.
7. Any and all User Content that Get Readily deems to be in violation of the Terms may be removed without any prior notice.
8. Get Readily shall store User information and content only for the duration of the User's association with the Website. In the event that the User Account is terminated or in the event that the User deletes his or her account, Get Readily shall remove all asso-ciated User Content within 30 days. On the expiry of 30 days Get Readily shall no longer be liable for removing any User Content.
LISTING OF INSTRUCTORS AND FITNESS CLUBS
1. Get Readily does not provide any ranking services of Instructors and Fitness Clubs. None of the listing of Instructors and Fitness Clubs on the Website are indicative of the quality of any Instructor or Fitness Clubs and Get Readily shall not be liable for any loss of goodwill, profits, opportunity or business caused to any Instructor or Fitness Club due to the listing.
2. All of the listing of Instructors and Fitness Clubs are provided on an 'as is' basis.
3. Certain information collected by Get Readily at the time of User registration and ac-count creation shall be displayed on the respective Instructor's/Fitness Club's profile on the Website and the Instructors/Fitness Clubs hereby consent to the same.
REVIEW AND FEEDBACK
1. Users are entitled to rate and review other Instructors and Fitness Clubs, provided they have availed the services of or offered services to such Instructor and Fitness Club.
2. Users are requested to ensure that all of their ratings and reviews are true, honest and bona fide. In the event that any User is found to be or suspected of giving any false, dishonest or mala fide reviews or in the event such User has not availed the services or offered his/her services to the instructor or Fitness Club it is reviewing, Get Readily re-serves the right to terminate the account of such User without any prior notice.
3. Get Readily shall not be obligated to remove any ratings or reviews from the profile of any Instructor or Fitness Club. Neither shall Get Readily be liable for any loss or dam-ages caused to any User or to their business due to any ratings or reviews present on their profiles.
4. By rating any User or by making any reviews anywhere on the Website, such User who is rating or reviewing hereby represents and warrants that:
  1. he/she has had first-hand experience of with the Instructor/Fitness Club he or she is rating/reviewing;
  2. the ratings and reviews provided by you are true and bona fide.
5. Get Readily values all feedback received from Users. However, Users are requested not to post any ideas, suggestions with regard to the Website or the Services. Any User continuing to send or post ideas and suggestions shall hereby grant to Get Readily a worldwide, non-exclusive, royalty free right to use, copy, adapt, incorporate, sell or of-fer for sale the same.
6. Any and all reviews and feedback provided by Users shall be subject to the provisions contained herein including but not limited to the restrictions on content.
PAYMENT
1. All Payments with regard to the Membership Plans shall be made by way of monthly electronic fund transfer or through such other modes as notified by Get Readily from time to time.
2. The initial subscription plan that a User may avail shall be for a period of 3 (Three) months (Initial Subscription). The Initial Subscription amount shall have to be paid in advance and the User may cancel his/her subscription only at the end of the Initial Subscription period.
3. All subsequent membership billing cycles after the Initial Subscription shall be for a period of 1 (One) month from the date of subscription and shall be automatically re-newed, unless otherwise selected by the User, on the same day in the subsequent month regardless of the number of days in that month. The next billing date for mem-berships purchased on the 31st day of any month shall be the 30th day of the following month.
4. Get Readily reserves the right to change the billing cycle of any User for any or no rea-son and Get readily shall inform the same to the User at the earliest.
5. Details regarding the membership plans and prices for the same shall be as mentioned by Get Readily on the Website from time to time.
6. Get Readily reserves the right to modify the prices of any or all of its membership plans and services at anytime and without any requirement of providing prior notice. All revision of prices shall be deemed to be effective from the date on which the re-vised prices have been mentioned on the Website.
CANCELLATION AND REFUNDS
1. Users may terminate their membership plans, other than the Initial Subscription, at any time by providing an advance notice of 3 (Three) days. All such requests for termina-tion shall have to be made to [email protected].
2. Users shall not be entitled to any refunds on any payments made to Get Readily re-gardless of whether the User has availed any of the services offered under his/her re-spective membership plans.
3. Users shall be entitled to continue availing the Services for such period for which they have made payments for. Any subsequent use of the Website or the Services shall only be after the reactivation of such User's account/membership.
4. Once a User cancels/terminates his membership, such User's account/membership may be reactivated by Get Readily at its sole discretion and subject to availability.
CONFIDENTIAL INFORMATION
1. Users hereby accept and agree that they shall treat any and all Confidential Information received or made known to it under these Terms as confidential with the same degree of care employed by it over its own Confidential Information which shall not be less than a reasonable degree of care.
2. Users shall have a duty of confidentiality over any and all information related to other Users of the Website.
3. Get Readily may, while rendering its Services, disclose certain Confidential Information to its directors, agents, employees, representatives and service providers and the Users hereby consent to the same.
4. Neither shall Get Readily or any User be liable for any information disclosed that was:
  1. Known to it prior to these Terms;
  2. Made public due to no fault of either Party;
  3. Disclosed in compliance with any law, judgment, ruling order or direction received from any court or governmental authority.
5. The Party disclosing any Confidential Information pursuant to Clause 10.4.3 shall as-sist the other Party in obtaining an order restricting the disclosure of Confidential In-formation or shall, in the event such an order could not be obtained or was not granted, disclose only such portion of the Confidential Information it is bound to disclose.
6. Users hereby agree that any unauthorized use or disclosure of any Confidential Infor-mation pertaining to Get Readily shall result in irreparable losses to Get Readily for which monetary compensation may prove inadequate and that Get readily reserves the right to, in addition to any other rights it may have under these Terms or under equity, seek injunctive relief to restrict the disclosure of any Confidential Information.
7. These obligations with regard to confidentiality shall continue to bind the Users indefinitely even after the termination of these Terms.
INTELLECTUAL PROPERTY
1. Any and all Intellectual Property present anywhere on the Website or within the Ser-vices, including but not limited to any patents, trademarks, copyrights, designs, icons, logos, domain names or other proprietary content shall be that belonging to Get Readily or that which has been duly obtained.
2. Get Readily does not claim any right, title or interest over any information material or content posted, published or transmitted by Users anywhere on the Website. Users hereby grant in favor of Get Readily a worldwide, royalty free, non-exclusive right to use such information, material and content for the purposes of advertising, promoting and marketing the Website and the Services.
3. Users are hereby expressly restricted from using in any manner any of the Intellectual Property present anywhere on the Website or the Services unless with the express writ-ten consent of Get Readily or from the proprietor of such Intellectual Property.
4. Any and all Intellectual Property discovered, developed or improved upon by any User under these terms or by using or incorporating any of the information, material or con-tent received from Get Readily shall be that belonging solely to Get Readily and the Users shall assign any and all rights held by them over to the sole benefit of Get Readily.
5. Users shall not, in any manner, reverse engineer or disassemble the Website or any of the software belonging to Get Readily.
6. Any rights that have not been granted specifically to any Party shall not be construed to have been granted under any circumstances.
REPRESENTATIONS AND WARRANTIES
1. Users hereby represent and warrant that they have all rights, licenses, consents and au-thority to perform such Services as may be listed on their profile and that nothing contained herein shall be in violation of any other terms they may have entered into.
2. The Users further represent and warrant that they are not barred, by or under any applicable law, from providing such services as may be listed on their respective profiles.
3. Users represent and warrant that all of the information provided by them to Get Readily under these Terms are true, accurate, complete and up to date in all material aspects to the best of their knowledge.
4. Users further represent and warrant that they have the necessary skill and expertise required to provide any and all such services as may be offered on their respective pro-files on the Website from time to time.
5. Get Readily makes no representations of any manner regarding the merchantability or fitness of the Website or the Services offered on the Website nor does Get Readily represent or warrant that the Website or the Services shall be continuous, error free or otherwise compatible with the User's device or system.
6. All Services offered by Get Readily are done so on an 'as is basis' and Get Readily hereby disclaims any and all representations and warranties permitted under law.
7. Neither does Get Readily make any representations or warranties regarding any of the information available on the Website. All such information is provided on an 'as is' ba-sis and Users shall be relying on the same at their sole option and risk. Under no cir-cumstances shall Get Readily be liable for any loss or damages caused to any User placing reliance on any information available anywhere on the Website or within the Services.
8. Get Readily does not conduct any background checks on any Instructors or Fitness Clubs and hence does not make any warranties or representations regarding any In-structors or Fitness Clubs including with regard to their respective services, experience or qualifications.
INDEMNITY AND LIABILITY
1. Users hereby accept and agree that they shall indemnify and defend Get Readily, its directors, employees, agents, subsidiaries, affiliates and representatives from and against any and all losses, damages, costs (including reasonable attorney fees), claims, suits or actions that arise, either directly or indirectly, due to any acts or omissions of the User including but not limited to any violation of these Terms or for any breach of confidentiality or for any breach of representations and warranties of the User.
2. UNDER NO CIRCUMSTANCES SHALL GET READILY OR ITS DIRECTORS, EMPLOYEES, AFFILIATES, CONTRACTORS, THIRD-PARTY PARTNERS OR SERVICE PROVIDERS BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, EVEN IF GET READILY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
3. In the event that any applicable law does not allow the limitation or exclusion of any liability or damages including but not limited to any incidental or consequential dam-ages by Get Readily, Get Readily's liability shall be limited to the fullest extent permitted under law.
4. Get Readily' liability to Users shall be limited to $50 or such other amounts, if any, paid by the User to Get Readily under these Terms in the 3 (Three) months immediately prior to the date on which such claim may arise.
5. None of the Parties hereto shall be liable for any loss or failure to perform if such loss or failure to perform was a direct result of a Force Majeure event. For the purposes of these Terms, a Force Majeure event shall mean and include any event beyond the con-trol of the Parties which prevents the Parties from performing their respective duties and obligations contained herein including but not limited to any Act of God, war, riot, blackout and electrical shortages.
6. All of the Services offered by the Instructors and Fitness Clubs are made available on the Website on an 'as is' basis and Get Readily shall not be liable for any loss or damages including injury or death that may arise to any person availing the Services of any Instructors or Fitness Clubs.
7. Get Readily is only facilitating the meeting of Instructors and Fitness Clubs with other Instructors and Fitness Clubs and is not a party to any agreement or transaction entered into or contemplated by the Users. Users shall be engaging with one another at their sole option and risk and Get Readily shall not be liable for any loss or damages includ-ing injury or death that may arise due any interactions or agreements between Users.
8. In the event any Instructor who has agreed to provide services as a substitute Instruc-tor fails to appear or fails to provide a qualified replacement, such Instructor shall be li-able to pay a $15 (Fifteen) late fee. Get Readily shall not be liable for the acts or omissions of any Instructor appearing as a substitute to any Fitness Clubs.
DISPUTE RESOLUTION
1. In the event of any disputes between Users, either Party to such dispute may, with the assistance of Get Readily communicate to the other User its desired means of resolution. Provided, such User has an active account on the Website.
2. Users may request to participate in the Dispute Resolution Process by contacting a Member Care Representative. On receiving such a request the Member Care Repre-sentative shall provide certain documentation concerning the dispute that the User shall be required to fill out and return to Get Readily. The Member Care Representative shall also collect additional information regarding the dispute from the User.
3. On understanding the dispute and after collecting all relevant documentation, the Member Care Representative shall contact the other User with whom the dispute arose and attempt to resolve the same through the means of resolution as mentioned in Clause 14.1 above.
4. If the means of dispute resolution is agreeable with the other User or if such User makes a counter offer agreeable to the User raising the dispute, then the dispute shall be considered to have been resolved.
5. Any negative reviews, ratings or feedback that the User may have posted or published on the other User's profile shall be removed in the event that the dispute is considered to have been resolved and the User shall also be provided with an opportunity to submit updated feedback. However, in the event that the dispute has not been resolved any and all reviews, ratings and feedback shall remain unchanged.
6. It is hereby understood by the Users that Get Readily is not a party to any dispute that may arise between Users and Get Readily only provides a means of dispute resolution. Get Readily is neither an arbitrator nor a mediator and does not provide any legal advice or services of any sort. The Dispute Resolution Process is not intended as a substitute to any legal advice or services and Users may participate in the same at their sole option and risk.
7. Users are advised to seek the opinion of an expert or consult with an attorney prior to participating in the Dispute Resolution Process.
8. Get Readily makes no representations or warranties that the outcome of the Dispute Resolution Process will be as desired by the User or in favour of the User and Get Readily shall not be liable for any adverse outcome resulting from the Dispute Resolu-tion Process.
9. Users agree that, by offering the Dispute Resolution Process, Get Readily does not waive any of its warranties , representations or limitation of liability, including without limitation those set forth under Clause 12 and 13.
TERMINATION
1. Users shall be free to delete or disable their respective accounts without assigning any reason, by providing an advance notice of 3 days. Once the User disables or deletes their respective accounts they shall not be entitled to any refunds.
2. Get Readily reserves the right to terminate any User account at anytime in the event such User is found to be in violation of the Terms or in violation of any applicable laws.
3. On the termination of a User Account, such User shall henceforth cease all use of the Website and the Services and shall not attempt to either access or use the Website and the Services through any other account. Users are expressly restricted from, either directly or indirectly creating more than one account on the Website. Any User found to have more than one account shall be restricted from further accessing the Website or the Services.
4. In the event of termination of the User’s account, such User shall within 30 days from the date of termination, return to Get Readily, any and all Confidential Information it may have obtained, been made aware of or received under these Terms. In the event such Confidential Information is stored in an electronic format, then such User shall delete or otherwise remove any and all Confidential Information from all of its servers, systems and databases and shall issue to Get Readily a written certificate to that effect.
NON-COMPETE AND NON-SOLICITATION
1. Users hereby accept and agree that they shall receive or be made aware of certain Confidential Information pertaining to Get Readily. Users further accept and agree that they shall not use any such Confidential Information for competing with Get Readily.
2. Users further accept and agree that they shall not solicit any of the employees or clients of Get Readily.

AMENDMENTS
1. These Terms may be revised at any time by Get Readily. No prior notice shall be pro-vided by Get Readily prior to revising the Terms and the revised Terms shall be bind-ing upon all Users from the date it has been published or made available on the Web-site. Users shall be required to constantly check the Terms for any revisions and any use of the Website or the Services by any User after the revisions have been effectuated shall be deemed as the Users acceptance of the revised Terms.
SEVERABILITY
1. If any provision of these Terms is found to be unlawful or otherwise unenforceable, the same shall be fully severable and the rest of the provisions shall continue on as if such provision was never a part hereto.
WAIVER
1. Any leniency shown by Get Readily shall not restrict Get Readily from seeking appropriate legal remedies at a later stage. No waiver made by either Party shall be considered effective unless with the approval of the other Party.
ENTIRETY
1. These Terms along with the Privacy Policy and the Membership Agreement shall constitute the entire agreement and understanding between the Parties with regard to the Website and the Services.
GOVERNING LAW AND JURISDICTION
1. These Terms of Use shall be governed by and in accordance with the laws of the State of New York as well as any and all applicable Federal Laws of the United States of America.
2. The Courts at New York shall have exclusive jurisdiction over all claims and disputes arising with regard to these terms.
